Terms and Conditions of the IMA Intentional Movement Academy

1 SCOPE & SUBJECT OF THE CONTRACT

The following Terms and Conditions (hereinafter referred to as " T&C") apply to all business relationships between the

IMA Intentional Movement Academy UG (haftungsbeschränkt)

(hereinafter referred to as "IMA") and our customers (hereinafter referred to in a gender-neutral manner as "customers or participants", collectively also referred to as "the parties"). Customers are participants as well as all persons using products and services of IMA.

The T&C of IMA shall apply exclusively. Verbal agreements besides this contract do not exist. Deviating, conflicting or supplementary general terms and conditions must be made in writing. This also applies to the cancellation of the text form clause itself.

These T&C apply to all contracts for participation in trainings, workshops, coachings and courses (hereinafter referred to as "event") of IMA, which the customer books on the website of IMA, via Eversports or on site.

2 CONTRACT CONCLUSION & FEES

Registration for our events is done online via our booking system on our website www.ima-studio.de/kursplan, or the Eversports App, or in case of registration via email, after confirmation by a member of the IMA staff and after payment of the participation fees. By registering, the participant confirms that he/she has taken note of and accepts the Terms and Conditions of IMA Intentional Movement Academy.

The participant has to make sure that the e-mail address he/she has given for the booking process is correct, so that e-mails sent by the organizer can be received under this address. In particular, when using SPAM filters, the participant must ensure that all e-mails sent by the organizer or by third parties commissioned by the organizer to handle the booking can be delivered.

The customer expressly agrees that legally significant declarations from IMA (e.g., reminders, declarations regarding changes to the General Terms and Conditions) may be sent in writing by email to the last email address provided by the customer. The member must immediately notify IMA of any changes to contract-relevant data, in particular name, address, email address, bank details, etc. Any costs incurred by IMA as a result of the member failing to promptly provide the data will be borne by the customer.

If the participant expressly declares to the organizer that he/she wishes to register additional participants for an event, the participant undertakes to be liable to the organizer for all claims arising in this connection.

The fees at the time of registration apply. All fees include the value added tax valid at the time of registration. By booking via Eversports on the IMA website, or the Eversports app, the participant makes a legally binding booking in relation to the selected event.

3 SERVICES

Courses are held throughout the year, with the exception of the period between Christmas and New Year. During the Berlin summer vacations, the IMA offers a reduced range of courses. Workshops and special events are offered at regular intervals. Unless otherwise agreed, the course fees quoted include the provision of the training equipment required for the events.

4 PARTICIPATION PREREQUISITES

Unless otherwise stated, our events are open to anyone aged 16 and over. Participants under 18 must provide written permission from a parent or guardian prior to the start of the course. Only the person named in the registration confirmation is authorized to participate in the booked event. Transferring the contract to a third party is not possible without written confirmation from IMA. In the event of unannounced lateness of more than 10 minutes after the start of the course, IMA trainers and staff may prohibit participation in the course for safety reasons, and credits for the booked event will be forfeited. The instructions of IMA trainers and staff must be followed.

5 HEALTH

Anyone who is physically healthy and does not suffer from any contagious disease or other impairment that could jeopardize the proper conduct of classes or the health of the participant or others may participate in IMA programs. In the case of contagious diseases, the IMA reserves the right to prohibit entry to the studio and participation in all programs. This does not entitle the participant to a refund of paid fees.

The participant confirms with his registration that there are no objections to training at IMA Berlin due to health reasons. The participant must inform IMA of any physical limitations prior to the start of the class. In case of injuries or previous illnesses, the participant is obliged to consult a doctor beforehand and to present a clearance certificate.

6 LIABILITY

The participant is aware that the training at IMA consists of dance and acrobatic elements, which go beyond the usual dangers of a regular fitness program. In the event of any limitations, the participant is obligated to inform IMA of these, including any medical instructions. The instructions of the trainers must be followed in all cases.

IMA shall not be liable for damages resulting from injury to life, body or health, as well as other damages such as property damage and financial loss, unless these are based on an intentional or negligent breach of duty by IMA or one of IMA's vicarious agents.

7 PAYMENT TERMS

a) Participants can purchase individual lessons and credit packages in advance by bank transfer, credit card, direct debit, or PayPal. New customer deals and trial lessons can be booked once per customer. If a second booking is made with a second customer account, the full course fee will be charged. If the difference is not paid in advance, the participant will be excluded from the training and the amount paid will not be refunded.

b) Participants can independently sign up for and cancel membership contracts on our website or via the Eversports app in their customer profile, and pay by SEPA direct debit mandate.

c) Private lessons, workshops, and events must be paid for in advance and are binding once the amount stated on the invoice has been paid in full. There is no right to participate or attend until the invoice amount has been paid.

d) In the event of a chargeback, for example due to incorrectly transmitted bank account details or insufficient account coverage, a fee of €10 will be charged. IMA is entitled to transfer any outstanding payments to third parties. In the event of repeated late payment, reminder fees and interest on late payments will be charged in addition to the outstanding amount.

8 Membership Contracts

8.1 Subject matter of the contract
The subject matter of the membership agreement is the provision of various courses in the disciplines listed on the IMA website. Details, in particular the essential features of the courses offered, can also be found in the course descriptions on the website and in the Eversports app. The membership agreement is concluded by booking via our website or the Eversports app in the customer profile. The right to participate established by membership is not transferable to third parties.
The monthly membership fee includes the specified number of credits, which the participant can use on their own to book the courses offered. Members have the option of having the IMA reserve a regular course date for them. If this option is not used, members are responsible for booking courses in a timely manner. The credits booked are assigned on a monthly basis; unused credits are collected and must be used up by the end of the contract. Unused credits expire at the end of the contract period.
IMA does not guarantee that classes will be taught by specific trainers. IMA reserves the right to decide whether or not to hold classes on public holidays. If no classes are held, members are not entitled to a reduction in membership fees. If a class scheduled by IMA cannot be held, the credits will be refunded and the member can book any other class.
In some cases, classes may depend on the number of participants. If there are three registrations for a class, the lesson will be shortened to one hour. If there are too few participants, there is no entitlement to continue the previously booked class.

8.2 CONTRACT TERM AND TERMINATION BY THE MEMBER
The minimum term of membership is 3 months, after which it can be terminated on a monthly basis. If membership is not terminated within the contractually agreed notice period at the latest, membership shall be automatically renewed until termination takes place. The date of receipt of the notice of termination by IMA shall be decisive for determining whether it has been received in good time. The right to extraordinary termination for good cause remains unaffected.
During the minimum term, termination is only permitted for good cause. The member is entitled to extraordinary termination in the following circumstances in particular:
a) in the event of pregnancy, upon presentation of a medical certificate.
b) in the event of illness that would make continued use of IMA classes impossible or harmful. If it remains possible to use individual, not entirely insignificant parts of a class, extraordinary termination is not permitted. Illness shall only constitute grounds for extraordinary termination if it is expected to last at least until the end of the agreed contract period and upon presentation of a medical certificate.
c) in the event of closure or relocation of the IMA
Termination of membership, regardless of the reason, can be done in the Eversports customer profile via our website or the Eversports app; or, if this is not possible, in writing by email to hello@ima-studio.de. Terminations in verbal or telephone form are expressly excluded.
8.3 Termination rights by IMA
If the member is more than two months in arrears with payment of their membership fees, IMA shall be entitled to terminate the contract without notice for good cause. Termination for other good causes shall remain unaffected by this provision. If IMA terminates the contract for good cause, all fees paid up to that point shall be retained. The right to participate expires and any make-up lessons are forfeited.

9 GIFT CARDS

Gift cards can be issued with a fixed monetary value or for specific offers. Discount vouchers are distributed as part of advertising campaigns and can be redeemed once per person. The monetary value of vouchers cannot be paid out in cash. Gift cards for a specific offer can only be redeemed for participation in that offer. Gift cards with a monetary value can be redeemed for all offers and for goods from the current product range. The statutory limitation period of three years from the date of issue applies.

10 ARTIST TRAINING

a) Das Artistentraining ist für ausgebildete TänzerInnen oder ArtistInnen sowie Personen, die eine Genehmigung eines IMA-Mitarbeiters erhalten haben, zugänglich. Die Zahlung für den gebuchten Zeitraum muss vorab erfolgen. 

b) Before training begins, an appointment for rigging instruction with an IMA employee is required to ensure that all safety precautions are observed.

c) Für den Zugang zum Trainingsraum ist ein elektronische Schlüssel nötig. Dieser ist an ein Smartphone gebunden. Pro Schlüssel wird eine Gebühr von 10 € fällig.

d) The IMA provides storage space for props. The artist is responsible for the proper storage of props.

e) Der Trainingsplatz muss vorab gebucht werden. Eine Stornierung oder Änderung der Buchung muss mindestens 12 Stunden im Voraus erfolgen. Bei mehr als zwei „No-Shows“ (Nicht-Erscheinen zum Training ohne Absage) innerhalb eines Monats wird der Zugang vorübergehend gesperrt. Es können maximal fünf Trainingseinheiten im Voraus gebucht werden.

8 WITHDRAWAL, CANCELLATION, AND REBOOKING

In the event of cancellation, if the participant is entitled to a refund, IMA will either offer a voucher for IMA products for the full amount or transfer the amount minus any bank and payment fees incurred.

a) Regular classes: Cancellations or rebookings must be made through the booking system at least 24 hours before the start of the course. Refunds will only be made in the form of credits to the customer's account with IMA Berlin. In the event of later cancellations or no-shows, the full course fee will be charged without exception, or the credits will expire.

b) Cancellation of Memberships is only possible online and independently via the customer account at Eversports.

c) Private lessons, courses, workshops, specials, and room bookings: Cancellation is free of charge up to 14 days before the event date. Up to 7 days before the event date, a cancellation fee of 50% of the fee paid will be charged. For cancellations less than 7 days before the event date, a cancellation fee of 100% of the fee paid will be charged. For other types of cancellations or no-shows, the full course fee will also be charged. The participant has the option of naming a suitable replacement participant for the booked date. Such a rebooking will be subject to a €10 processing fee and must be approved in advance by an IMA employee.

d) Teacher Trainings & Retreats: A deposit of €100 is required to reserve a spot. This deposit is non-refundable. The total amount is due 90 days before the start of the event. For cancellations up to 30 days before the first event date, 50% of the total amount paid will be refunded. For cancellations less than 30 days before the event date or no-shows, the full course fee is due. The participant has the option of naming a qualified replacement participant for the booked date. Such a rebooking will be charged a €20 processing fee.

e) Credit packages cannot be returned. Any remaining credits will expire. Pursuant to Section 312g (2) No. 9 of the German Civil Code (BGB), there is no right of withdrawal for the provision of services in connection with leisure activities if the contract specifies a specific date or period for the provision of such services.

f) In the event of medically certified absences due to illness lasting longer than 3 weeks or pregnancy, block cards and contract periods can be extended free of charge. Only partial participation in the course does not entitle the participant to a reduction in payment, provided that IMA is not responsible for this.

9 AMENDMENTS

The IMA reserves the right to reschedule or cancel events for important reasons (e.g., insufficient number of participants or cancellation by a teacher). In the event of cancellation for the reasons mentioned above, the IMA will, at the participant's discretion, offer an alternative date or refund the course fee or credits, if these have already been paid.

Regular classes take place once 3 people have registered and are shortened to one hour.

Deviations in reasonable class times of up to one hour on the same day and/or the use of another equivalent teacher do not entitle the customer to a reduction in payment and/or cancellation.

If participants have a long journey to the venue, it is advisable to check with us whether the event is taking place before booking travel. Verbal side agreements and promises are not valid.

10 FINAL PROVISIONS

All legal relationships between the parties shall be governed by the laws of the Federal Republic of Germany, excluding international uniform law, in particular the UN Convention on Contracts for the International Sale of Goods. If the participant does not have a general place of jurisdiction in Germany or in another EU member state, the exclusive place of jurisdiction for all disputes arising from this contract shall be the organizer's place of business in Berlin. Should individual provisions of these General Terms and Conditions be or become invalid or void, this shall not affect the validity of the remaining provisions. The invalid or unenforceable clause shall be replaced by a provision whose effects come closest to the economic and legal objectives pursued by the contracting parties with the invalid or unenforceable provision. The above provisions shall apply accordingly in the event that the contract proves to be incomplete. In all other respects, the statutory provisions shall apply.
